Partner Terms

1.Scope
These Partner Terms govern the business-to-business relationship between Salonify Europe, Luxembourg ("Salonify", "we"), and salons, shops and other professional service providers ("Partners", "you") that use Salonify's online intermediation services to offer bookings, products, memberships, courses and related services to consumers.
They implement, among other things, Regulation (EU) 2019/1150 on fairness and transparency for business users of online intermediation services (the "P2B Regulation"). They supplement, and where applicable are completed by, your individual subscription/onboarding agreement and the pricing page. Consumer Terms of Use apply to the contractual relationship with consumers.
2.Onboarding & Verification
- A Partner account requires a valid business registration and a person authorised to represent the business
- All information you provide (legal entity, address, VAT number, ownership, staff, services and prices) must be accurate, current and complete
- To use online payments, you must complete Stripe Connect onboarding, including identity and KYC verification
- Salonify may verify your details, request supporting documents, and decline or suspend onboarding where information is false, misleading or incomplete
3.Commissions & Fees
The fees applicable to your account are set out transparently on the pricing page and in your individual agreement. They may include:
- A commission on online bookings taken through the platform
- A marketplace commission on product sales, which includes payment processing
- Subscription / SaaS fees for the software plan you select
The specific rates and amounts are those shown on the pricing page and in your agreement at the time they apply. Commissions are deducted from your payouts. We will give reasonable prior notice of any change to fees in accordance with the P2B Regulation.
4.Payouts
Online payments are processed through Stripe Connect. Funds for bookings and orders are collected on your behalf and paid out to your connected Stripe account, net of applicable commissions and refunds. Payout timing and any reserves or holds follow Stripe's payout schedule and your Stripe Connected Account Agreement. You are responsible for keeping your payout details accurate. Refunds owed to consumers are borne by you and processed through Stripe.
5.Ranking & Visibility
In accordance with Art. 5 of the P2B Regulation, the main parameters determining how Partners are ranked in search and listings, and their relative importance, are:
- Relevance to the consumer's search query and category
- Distance / proximity to the consumer or searched location
- Availability of bookable slots
- Ratings and reviews
- Completeness and quality of the Partner profile
Where placement can be influenced by payment (e.g. sponsored placements), this is clearly labelled as "Sponsored", and we disclose the effect of such remuneration on ranking.
6.Partner Obligations
- Keep your profile, services, availability and prices accurate and up to date, including all applicable taxes and VAT
- Honour confirmed bookings and orders and perform services with professional care
- Comply with all laws applicable to your business, including hygiene, health-and-safety, professional licensing and trade regulations
- Be solely responsible for your own tax obligations and reporting
- Apply your own cancellation, no-show, deposit and return policies transparently and lawfully toward consumers
7.Customer Data & GDPR
With respect to the personal data of your own customers that you process in connection with your services, the Partner acts as an independent data controller and is responsible for its own compliance with the GDPR and applicable data-protection law, including the lawful basis for processing, information duties and data-subject requests. Salonify processes platform data as described in its Privacy Policy. Each party shall implement appropriate technical and organisational measures and cooperate as required by law.
8.Suspension & Delisting
In accordance with Art. 4 of the P2B Regulation:
- Where we restrict or suspend your services, we provide a statement of reasons in a durable medium
- Where we terminate the provision of our services, we give at least 30 days' prior notice, except where a shorter period is required by law, a legal obligation applies, or you have repeatedly breached these Terms
- We may suspend or delist immediately, without prior notice, in cases of unlawful conduct, fraud, security risk, or serious harm to consumers or the platform
9.Internal Complaint Handling
In accordance with Art. 11 of the P2B Regulation, Partners may submit complaints free of charge to [email protected] regarding our compliance with the Regulation, technology issues affecting your business, or measures taken in relation to your account. We will examine complaints, follow up as necessary and communicate the outcome within a reasonable timeframe, taking the importance and complexity of the issue into account.
10.Liability
Salonify provides the intermediation platform "as is" with reasonable care but does not guarantee uninterrupted availability or a particular volume of bookings or sales. To the extent permitted by law, our liability toward Partners is limited to damage caused intentionally or by gross negligence and to breaches of essential contractual obligations, capped at foreseeable, contract-typical damage. The Partner remains solely responsible toward consumers and third parties for the services and products it provides and shall indemnify Salonify against third-party claims arising from the Partner's breach of law or of these Terms.
11.Term & Termination
The agreement runs for the term set out in your subscription plan and renews according to that plan. You may terminate in line with your plan's notice terms. Termination by Salonify follows the notice requirements in Section 8. On termination, you remain liable for fees accrued up to the effective date, and both parties shall cooperate on an orderly wind-down, including the fulfilment of bookings and orders already accepted.
12.Governing Law & Jurisdiction
These Partner Terms are governed by the laws of Luxembourg, and the courts of Luxembourg City have exclusive jurisdiction over disputes arising from the B2B relationship, without prejudice to any mandatory provisions of the P2B Regulation.
